These Terms of Service ("Terms") govern your use of the EBBE Signal platform ("Signal", the "Platform") operated by EBBE (ABN 85 078 685 199) ("EBBE", "we", "us"). By creating an account or using Signal, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and authorised to act on behalf of your organisation. Signal is intended for use by not-for-profit organisations and professional fundraisers.
2. Accounts
- You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
- You agree to use a strong password (see our password policy on the registration page) and to enable two-factor authentication when offered.
- You must notify us immediately of any suspected unauthorised use at security@ebbe.com.au.
3. Acceptable use
You agree not to:
- Use Signal to store any government-classified data, payment-card data, or sensitive health information unless we have agreed in writing to support that use.
- Reverse-engineer, scrape or attempt to gain unauthorised access to the Platform.
- Upload malware, attempt denial-of-service attacks, or otherwise interfere with the Platform's operation.
- Use Signal to violate any Australian law or any third party's rights.
4. Customer data
You retain ownership of all data you upload to Signal ("Customer Data"). You grant EBBE a limited licence to host, process and display Customer Data solely to provide the Platform. We handle Customer Data per our Privacy Policy.
5. Subscription, fees & cancellation
Pricing is set out at the time of purchase. Unless otherwise agreed, fees are billed in advance and are non-refundable. You may cancel at any time from the Settings → Subscription page; cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that are 30 days or more overdue.
6. Service availability
We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance and emergency updates may occur. We are not liable for downtime caused by upstream cloud providers, internet outages or events beyond our reasonable control.
7. Intellectual property
EBBE retains all intellectual property rights in the Platform itself (code, design, branding, scoring algorithms). These Terms do not grant you any rights in the Platform other than the right to use it as a subscriber.
8. Disclaimer & limitation of liability
Signal is provided "as is". To the maximum extent permitted by law:
- We exclude all implied warranties not required by the Australian Consumer Law.
- Our total liability under these Terms is limited to the fees you have paid us in the 12 months preceding the claim.
- We are not liable for indirect, consequential, special or punitive losses (including loss of grant funding, loss of profit, or loss of data).
Nothing in these Terms excludes liability that cannot be excluded by Australian law.
9. Indemnity
You indemnify EBBE against claims arising from Customer Data you upload, your breach of these Terms, or your unlawful use of the Platform.
10. Termination
Either party may terminate for material breach with 14 days' written notice. On termination, your access is revoked. You may export your Customer Data for up to 30 days after termination; after that, we will delete or de-identify it per our retention policy.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of NSW.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
